Section 01
Acceptance of Terms
By accessing or using the website and services provided by LammastideIT (referred to as "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.
We reserve the right to modify these Terms at any time. Continued use of our services following posted changes constitutes acceptance of the revised Terms. We recommend reviewing this page periodically.
Section 02
Description of Services
LammastideIT provides a range of professional technology services including but not limited to:
- Custom web development and web application development
- Mobile application development (iOS and Android)
- Cloud infrastructure setup, migration, and management
- IT consulting, strategy, and digital transformation services
- Cybersecurity assessments, monitoring, and implementation
- UI/UX design and user experience consulting
- Ongoing technical support and maintenance packages
The specific scope, deliverables, timelines, and pricing for each engagement are defined in a separate Service Agreement or Statement of Work ("SOW") agreed upon before project commencement. These Terms govern the general relationship in the absence of, or in addition to, any such agreement.
Section 03
User Obligations
When using our website and services, you agree to the following obligations:
- Provide accurate, current, and complete information when submitting forms, briefs, or requests.
- Use our website and services for lawful purposes only and in compliance with all applicable laws.
- Not attempt to probe, scan, or test the vulnerability of our systems or breach any security or authentication measures.
- Not engage in any action that imposes an unreasonable load on our infrastructure or interferes with other users.
- Not reproduce, duplicate, copy, sell, resell, or exploit any portion of our services without express written permission.
- Maintain the confidentiality of any credentials or access tokens provided to you during a project engagement.
- Promptly notify us of any unauthorised use of your account or any other security breach.
Section 04
Intellectual Property
Intellectual property rights are governed as follows:
- Our IP: All content on this website — including text, graphics, logos, icons, and software — is the property of LammastideIT or its licensors and is protected by applicable copyright and trademark laws.
- Client IP: Any content, data, or materials you provide to us remain your property. You grant us a limited licence to use such materials solely to deliver the agreed services.
- Project Deliverables: Upon full payment, ownership of custom deliverables created specifically for you (e.g. custom code, designs) transfers to you as outlined in the project SOW.
- Pre-existing & Third-Party Components: Open-source libraries, third-party tools, and our proprietary frameworks used within deliverables remain subject to their respective licences.
Section 05
Payment Terms
The following payment terms apply to all service engagements unless superseded by a signed service agreement:
- A deposit of 50% of the agreed project value is required before project commencement.
- The remaining balance is due upon project completion and delivery, prior to the transfer of final files or deployment.
- Invoices are payable within 14 calendar days of the invoice date unless otherwise agreed.
- Late payments may incur an interest charge of 1.5% per month on the outstanding balance.
- All prices are quoted in Sri Lankan Rupees (LKR) or USD as agreed, and are exclusive of any applicable taxes.
- Project scope changes or additions may be subject to additional charges as documented in a change request.
We reserve the right to suspend or terminate services where invoices remain unpaid beyond 30 days.
Section 06
Confidentiality
Both parties agree to maintain the confidentiality of sensitive information shared during the course of a project engagement:
- We treat all client business information, strategies, and data as strictly confidential.
- Our team members with access to your project data are bound by confidentiality obligations.
- We will not disclose your confidential information to third parties without your written consent, except as required by law.
- These obligations survive the termination of the service relationship for a period of 3 years.
For projects requiring formal NDA protection, we are happy to sign a mutual Non-Disclosure Agreement before preliminary discussions begin.
Section 07
Limitation of Liability
To the maximum extent permitted by applicable law:
- LammastideIT's total liability arising from or in connection with a service engagement shall not exceed the total fees paid by you for that specific engagement in the preceding 3 months.
- We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
- We do not warrant that our services will be uninterrupted, error-free, or entirely secure, though we take all reasonable precautions.
- We are not liable for delays or failures caused by factors outside our reasonable control (force majeure), including natural disasters, internet outages, or third-party service failures.
Section 08
Termination
Either party may terminate a service engagement in the following circumstances:
- Client Termination: You may terminate a project by providing 14 days written notice. You remain liable for all work completed to the date of termination.
- Our Termination: We reserve the right to terminate services immediately if you breach these Terms, engage in unlawful conduct, or fail to make required payments.
- Mutual Agreement: Either party may propose termination by mutual written agreement, including negotiated terms for final deliverables and payment.
Upon termination, we will provide all completed work and relevant project assets up to the point of termination, conditional on payment of all outstanding amounts. Provisions relating to IP, confidentiality, and limitation of liability survive termination.
Section 09
Governing Law & Disputes
These Terms of Service shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to conflict of law principles.
- Informal Resolution: We encourage clients to contact us first to resolve any dispute informally. Most issues can be resolved through good-faith communication.
- Mediation: If informal resolution fails, both parties agree to attempt mediation before initiating formal legal proceedings.
- Jurisdiction: Any legal proceedings shall be brought in the courts of Matara, Sri Lanka.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
